These Terms of Service ("Terms") govern your access to and use of envokit ("the Service"), operated by envokit ("we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. What envokit is
envokit is a productivity tool that helps individuals and teams organize contacts, manage follow-up sequences, and send personalized messages from their own Gmail account. envokit is a tool, not an agency or service provider. We provide the platform and the infrastructure. You control what you send, to whom, and when.
All emails sent through envokit originate from your Gmail account via Google OAuth. You are the sender. You are responsible for the content and recipients of every message sent through your account.
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. By using the Service, you represent that both conditions are met.
3. Your account
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at hello@envokit.com if you suspect any unauthorised access. We are not liable for any loss arising from your failure to keep credentials secure.
4. Your responsibility for contacts and content
This is the most important section. You are solely and entirely responsible for the contact data you upload, the messages you send, and your compliance with all applicable laws. envokit is not responsible for how you use the tool.
By using the Service, you represent and warrant that:
- You have the legal right to contact every person in your contact lists
- Your contact lists were obtained through lawful means, not purchased, scraped, or otherwise collected without the knowledge or consent of the individuals
- You have obtained all required consents where applicable under GDPR, CAN-SPAM, CASL, or any other anti-spam or data protection law applicable in your jurisdiction or the jurisdiction of your recipients
- Your email content is accurate, not deceptive, and complies with all applicable laws
- You have a valid unsubscribe mechanism in place where required by law
- You will honour opt-out and unsubscribe requests promptly
We reserve the right to suspend or terminate accounts that we believe are being used to send spam or to violate applicable law, without prior notice and without liability to you.
5. Acceptable use
You agree to use the Service only for lawful purposes. You must not:
- Send unsolicited bulk email (spam) or use the Service to harass, abuse, or intimidate individuals
- Upload contact lists obtained through scraping, data brokers, purchased databases, or any method that violates the consent of the recipients
- Violate any applicable law, including anti-spam laws such as CAN-SPAM, GDPR, CASL, or equivalent local regulations
- Impersonate any person or entity or misrepresent your affiliation with any organisation
- Attempt to gain unauthorised access to our systems or another user's account
- Use the Service to send content that is illegal, harmful, defamatory, fraudulent, or deceptive
- Use the Service in any manner that could damage, overburden, or impair the Service or its infrastructure
6. Gmail integration
The Service uses Google OAuth to connect to your Gmail account. By authorising this connection, you grant us permission to send emails and read inbox metadata (subject lines and sender addresses) for reply detection on your behalf. We do not read, store, or process the body content of emails in your inbox. You can revoke this access at any time through your Google account settings or from your Settings page in the app.
Our use of Google API data complies with the Google API Services User Data Policy, including the Limited Use requirements.
7. Subscriptions and billing
Paid subscriptions are billed monthly in advance. All payments are processed securely by Paddle, our authorised reseller and merchant of record. By subscribing, you authorise recurring charges to your payment method. Prices are listed in US dollars and are subject to change with 30 days' notice.
Your subscription will automatically renew each month unless you cancel before the renewal date. Cancellation takes effect at the end of the current billing period. You will retain full access until then.
8. Free tier
We offer a free plan with limited features. We reserve the right to modify, restrict, or discontinue the free tier at any time with reasonable notice.
9. Intellectual property
The Service, including its design, code, and content, is owned by envokit and protected by applicable intellectual property laws. You retain ownership of all content you create or upload, including contact lists, email templates, and campaign data. You grant us a limited, non-exclusive licence to store and process that content solely to provide the Service to you.
10. Data and privacy
Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. You are the data controller for any personal data relating to your contacts. envokit acts as a data processor at your direction.
11. Indemnification
You agree to indemnify, defend, and hold harmless envokit, its operators, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable law, including anti-spam or data protection laws
- Any content you send, upload, or transmit through the Service
- Any claim by a third party that arises from messages you sent using the Service
- Your contact data and how it was obtained
This indemnification obligation survives the termination of these Terms and your use of the Service.
12. Disclaimer of warranties
The Service is provided "as is" and "as available" without warranty of any kind, express or implied. We make no representation or warranty that the Service will be error-free, uninterrupted, secure, or that it will meet your specific requirements. We do not guarantee that emails sent through the Service will be delivered successfully. Email deliverability depends on factors entirely outside our control, including your Gmail account standing, recipient spam filters, and recipient mail server configurations.
To the fullest extent permitted by applicable law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
13. Limitation of liability
To the maximum extent permitted by law, envokit and its operators shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of data, loss of goodwill, business interruption, or reputational harm, arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Service, regardless of the form of the action, shall not exceed the greater of (a) the total amount you paid us in the 12 months immediately preceding the event giving rise to the claim, or (b) USD $50.
Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, our liability is limited to the minimum extent permitted by applicable law.
14. Termination
You may delete your account at any time from your account settings. We may suspend or terminate your access immediately if you violate these Terms, engage in behaviour we reasonably believe constitutes spam or abuse, or if required by law. Upon termination, your data will be retained for 30 days before permanent deletion, during which time you may request an export by emailing hello@envokit.com.
Termination of your account does not relieve you of any obligations or liabilities that arose prior to termination.
15. Changes to these Terms
We may update these Terms from time to time. We will notify you by email at least 14 days before material changes take effect. Continued use of the Service after that date constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and delete your account before the effective date.
16. Governing law and disputes
These Terms are governed by the laws of Israel, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the courts of Tel Aviv, Israel. You consent to personal jurisdiction in those courts.
17. Miscellaneous
These Terms, together with our Privacy Policy, constitute the entire agreement between you and envokit regarding the Service. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. You may not assign your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
